THIS AGREEMENT is made for conducting an event or a class by EVENT CREATOR AND CLASS INSTRUCTOR (hereinafter called EC/CI) respectively to have its place of business at reducates.com and to render service to clients whether they are event participants or students (hereinafter referred to as “Client”).

THEREFORE, for good and valuable consideration of the mutual covenants and agreements contained herein, the receipt and adequacy of which is hereby acknowledged, EVENT CREATOR AND CLASS INSTRUCTOR (hereinafter called EC/CI) and Client hereto covenant and agree as follows:

1.     GENERAL PROVISIONS

1.1  EVENT CREATOR will act as planner of events and will provide or perform the services.

1.2  CLASS INSTRUCTOR will act as instructor/teacher for a class(es) and conduct class meetings accordingly online.

1.3  Both event(s) and class(es) may be free of charge and may also involve payment from Clients to EVENT CREATOR AND CLASS INSTRUCTOR.

1.4  EVENT CREATOR AND CLASS INSTRUCTOR will use his/her brand name, logos or trademark to provide recognition of their involvements. 

1.5  EVENT CREATOR AND CLASS INSTRUCTOR serve as independent contractors with respect to Clients.

2. RESPONSIBILITY

2.1  EVENT CREATOR organizes events on Reducates.com, promotes the events and holds such events online.

2.2  CLASS INSTRUCTOR will act as an instructor/teacher for a class(es), promote the class(es), and conduct class meetings accordingly online.

2.3  EVENT CREATOR AND CLASS INSTRUCTOR perform his/her services in accordance with all applicable laws of the governing jurisdiction to provide a safe environment for Client, Reducates (its employees, agents, independent contractors, and its members), and the general public.

3. Payment

3.1  EVENT CREATOR AND CLASS INSTRUCTOR may offer event(s)/class(es) free of charge.

3.2  In the event payment occurs, Reducates will charge EVENT CREATOR AND CLASS INSTRUCTOR 30% for its administrative fee.

3.3  The Client’s payment will occur during registration for events or classes.

3.4  All payments will be paid directly to EVENT CREATOR OR CLASS INSTRUCTOR and the EVENT CREATOR OR CLASS INSTRUCTOR will pay Reducates based on the bill Reducates will send at the completion of the paid event or class.

4. CANCELLATION

4.1  If EVENT CREATOR OR CLASS INSTRUCTOR cancels his/her event or class, she/he will inform his/her clients and arrange for services to be fulfilled at specific date(s) and time(s) in the near future.

4.2  When a paid event/class is canceled, the payment will go for the payment of future paid event/class unless the client(s) wish to be refunded.

4.3  Reducates is not responsible for any payment from Clients to EVENT CREATOR OR CLASS INSTRUCTOR or refund from them to clients.

5. WARRANTY

5.1  EVENT CREATOR AND CLASS INSTRUCTOR and Client have rights in respect to an event(s) or classes(es) they offer, to enter into this Agreement, and to perform in accordance with the Agreement’s terms without violating the rights of others.

5.2  REDUCATES warrants the use of reducates.com for conducting events and classes, but is not responsible for the cancellation of an event(s) and class(es), payment between EVENT CREATOR AND CLASS INSTRUCTOR and Clients, and for the contents of both event(s) and class(es).
